1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sindex AI ("Company," "we," "us," or "our") governing your access to and use of the Sindex AI website at sindex.io, mobile applications (available on Android and iOS), Telegram bot, and all related services (collectively, the "Service").

By downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules applicable to specific features. If you do not agree to these Terms, you must immediately cease using the Service and uninstall any Sindex AI applications from your devices.

We reserve the right to modify these Terms at any time. We will notify you of material changes through in-app notifications, email, or by posting the updated Terms on our website. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher);
• Have the legal capacity and authority to enter into a binding agreement;
• Not be a resident of, or located in, any jurisdiction where the use of the Service or cryptocurrency-related activities are prohibited by applicable law or regulation;
• Not be listed on any government-maintained sanctions list, including but not limited to the U.S. OFAC SDN list, EU sanctions list, or UN sanctions list;
• Not have been previously suspended or removed from the Service;
• Comply with all applicable local, national, and international laws and regulations related to cryptocurrency trading, financial services, and data privacy.

By using the Service, you represent and warrant that you meet all of the above eligibility requirements. We reserve the right to verify your eligibility and to refuse access to the Service at our sole discretion.

3. Description of Service

Sindex AI is a cryptocurrency market analytics and intelligence platform that provides the following features and services:

• AI-Powered Trading Signals: Automated analysis generating buy/sell signals for spot and futures markets, including long, short, pump detection, dump detection, and unusual activity alerts.
• Market Sentiment Analysis: Proprietary sentiment engine with historical chart data and trend indicators (MA/EMA) to help gauge market conditions.
• Algo Forge (Algorithmic Strategy Builder): Tools to create, configure, backtest, and deploy custom trading strategies using a visual node-based editor.
• AI Chat Assistant: An AI-powered conversational assistant that can help you build strategies, analyze market conditions, and answer crypto-related questions. Supports text and voice input.
• Portfolio Strategist: Portfolio management tools including manual entry and exchange API integration (e.g., Binance) for syncing and analyzing portfolio holdings.
• Crypto News Aggregation: Curated cryptocurrency news from various sources.
• Signal Channels: Community and premium channels providing trading signals and market insights.
• Push Notifications: Real-time alerts for signals, market movements, price targets, and news.
• Market Data: Real-time and historical cryptocurrency market data, charts, and coin details.
• Telegram Bot Integration: Access to select Sindex AI features through our Telegram bot.

The Service is provided for informational and educational purposes only. The Service does not constitute, and should not be construed as, financial advice, investment advice, trading advice, or any other type of professional advice. See Section 11 (Financial Disclaimer) for important details.

4. Account Registration and Security

4.1 Account Creation

To access certain features of the Service, you must create an account. You may register using:

• Email and password;
• Google Sign-In;
• Apple Sign-In;
• Other social login methods we may offer.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete. You must verify your email address before accessing the full functionality of the Service.

4.2 Account Security

You are solely responsible for safeguarding the password and credentials associated with your account. You agree to:

• Maintain the confidentiality of your account credentials;
• Enable two-factor authentication (2FA) when available for enhanced security;
• Not share your account with anyone or allow others to use your account;
• Notify us immediately at support@sindex.io if you suspect unauthorized access to your account;
• Be responsible for all activities that occur under your account, whether or not authorized by you.

We implement security measures including login attempt limits, session management, and account lock protections. However, we cannot guarantee absolute security. We strongly recommend using strong, unique passwords and enabling 2FA.

4.3 Account Deletion

You may request deletion of your account at any time through the app settings or by contacting us at support@sindex.io. Upon account deletion, we will delete or anonymize your personal data in accordance with our Privacy Policy and applicable data retention laws. Active subscriptions will not be automatically refunded upon account deletion.

5. Subscriptions and Payments

5.1 Subscription Plans

The Service offers multiple subscription tiers (e.g., Free, Pro, Premium) with varying levels of access to features, signals, AI credits, backtest quotas, and strategy limits. Details of each plan, including features, pricing, and limitations, are available within the app and on our website. We reserve the right to modify subscription offerings and pricing at any time with reasonable notice.

5.2 Billing and Payment

Subscriptions are available in various billing cycles (monthly, quarterly, yearly, and lifetime). Payments are processed through:

• Google Play: For Android devices. All billing is managed through Google Play and subject to Google Play Terms of Service.
• Apple App Store: For iOS devices. All billing is managed through Apple and subject to Apple Media Services Terms and Conditions.
• Cryptocurrency: Direct crypto payments where available, subject to blockchain network conditions.
• Other payment methods: As may be offered from time to time.

5.3 Auto-Renewal

Subscriptions purchased through Google Play or the Apple App Store will automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period. You can manage and cancel subscriptions through your device's app store settings. Renewal charges will be billed to your account within 24 hours prior to the end of the current period at the rate of the selected plan.

5.4 AI Credits and Consumable Purchases

Certain features, such as the AI Chat Assistant, are powered by AI credits. Credits may be included with subscription plans or purchased separately as consumable in-app purchases. AI credits are non-transferable, non-refundable, and have no cash value. Monthly credit allocations included with subscriptions reset at the billing cycle and unused credits do not carry over.

5.5 Free Trials

We may offer free trial periods for certain subscriptions. If you begin a free trial and do not cancel before the trial ends, your subscription will automatically convert to a paid subscription at the listed price. Only one free trial is permitted per user, per device, and per payment method.

5.6 Refunds

Refund policies are governed by the platform through which you made the purchase:

• For Google Play purchases, refund requests must be directed to Google per their refund policy.
• For Apple App Store purchases, refund requests must be directed to Apple per their refund policy.
• For cryptocurrency payments, refunds may be processed at our discretion and are subject to network fees and price fluctuations.

6. User Conduct and Restrictions

6.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction.

6.2 Prohibited Activities

You agree NOT to:

• Use the Service for any illegal purpose, including money laundering, terrorist financing, or fraud;
• Attempt to gain unauthorized access to the Service, other user accounts, or our systems;
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service;
• Copy, reproduce, distribute, or create derivative works from any content or materials provided through the Service;
• Use automated scripts, bots, scrapers, or other automated means to access or interact with the Service;
• Interfere with, disrupt, or create an undue burden on the Service or the networks connected to the Service;
• Impersonate or misrepresent your identity or affiliation with any person or entity;
• Sell, resell, sublicense, or commercially exploit the Service or any content therein;
• Use trading signals or information from the Service to manipulate markets;
• Share your account credentials or allow multiple individuals to use a single account;
• Circumvent any access restrictions, content protections, or subscription limitations;
• Upload, transmit, or distribute any viruses, malware, or other harmful software;
• Use the AI Chat Assistant to generate harmful, abusive, misleading, or illegal content;
• Attempt to extract or scrape data from the Service for any unauthorized purpose.

6.3 Enforcement

We reserve the right to investigate and take appropriate action against any violation of these Terms, including without limitation: suspending or terminating your account, removing content, reporting illegal activities to law enforcement, and pursuing any available legal remedies.

7. Exchange API Integration

The Portfolio Strategist feature allows you to connect third-party cryptocurrency exchange accounts (such as Binance) via API keys for portfolio syncing and analysis.

• API Key Security: Your exchange API keys are encrypted before storage using industry-standard encryption methods. We strongly recommend using read-only API keys that do not have trade or withdrawal permissions.
• Your Responsibility: You are solely responsible for the security and configuration of your API keys. Sindex AI is not liable for any losses resulting from compromised API keys or misconfigured permissions.
• No Trading on Your Behalf: Sindex AI does not execute trades on your behalf through connected exchange APIs. The integration is used solely for reading portfolio and balance data.
• Third-Party Terms: Your use of third-party exchange APIs is also subject to the terms and conditions of the respective exchange. We are not responsible for any changes, outages, or restrictions imposed by third-party exchanges.

8. AI-Powered Features

Several features of the Service utilize artificial intelligence and machine learning technologies, including but not limited to the AI Chat Assistant, signal generation, strategy building, portfolio analysis, and voice transcription.

• No Guarantees of Accuracy: AI-generated content, signals, strategies, and analyses may contain errors and are not guaranteed to be accurate, complete, or reliable. You should always conduct your own due diligence before making any financial decisions.
• Third-Party AI Providers: Our AI features may utilize third-party AI services (such as OpenAI and Google). Your interactions with AI features may be processed by these third-party providers subject to their own terms of service and privacy policies.
• Conversation Data: AI chat conversations are stored to maintain conversation history and improve the Service. You may delete your conversation history at any time through the app.
• Content Limitations: AI-generated responses may not reflect current market conditions and should not be used as the sole basis for trading decisions. The AI does not have access to real-time market data during conversations.
• Voice Input: If you use voice input features, your audio data is processed for transcription purposes and is not stored after processing.

9. Algo Forge and Backtesting

The Algo Forge feature allows you to create and backtest algorithmic trading strategies.

• Past Performance Disclaimer: Backtesting results are based on historical data and do not guarantee future performance. Past results are not indicative of future results. Market conditions, liquidity, and other factors may significantly affect actual trading outcomes.
• Strategy Signals: Signals generated by your custom strategies are based on your configured parameters and the algorithms you have designed. Sindex AI is not responsible for the accuracy or profitability of user-created strategies.
• Usage Limits: Backtesting and strategy deployment are subject to daily and subscription-based quotas. These limits may change at our discretion.
• No Execution: Sindex AI does not execute any trades on your behalf. Signals and strategies are informational tools only.

10. Intellectual Property Rights

The Service and its original content, features, functionality, algorithms, design, graphics, logos, and trademarks are and will remain the exclusive property of Sindex AI and its licensors. The Service is protected by copyright, trademark, trade secret, and other intellectual property or proprietary rights laws.

You retain ownership of any original content (such as custom strategies, portfolio configurations, and notes) that you create using the Service. By creating content through the Service, you grant Sindex AI a non-exclusive, worldwide, royalty-free license to use, store, and process such content solely for the purpose of providing and improving the Service.

The Sindex AI name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Sindex AI. You may not use such marks without our prior written permission.

The Service integrates with and relies upon third-party services, including but not limited to:

• Google Play / Apple App Store: For app distribution, in-app purchases, and subscription management;
• Firebase (Google): For authentication, push notifications, analytics, and crash reporting;
• RevenueCat: For subscription management and cross-platform purchase verification;
• OpenAI / AI Providers: For AI chat, content generation, and voice transcription;
• Cryptocurrency Exchanges: For market data feeds and portfolio integration;
• Telegram: For bot services and signal channel integration;
• News Providers: For cryptocurrency news content aggregation.

Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, security, or practices of any third-party services. Any reliance you place on third-party services is at your own risk.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• WARRANTIES THAT THE INFORMATION OR SIGNALS PROVIDED WILL BE ACCURATE, RELIABLE, OR COMPLETE;
• WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE;
• WARRANTIES THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED;
• WARRANTIES REGARDING THE ACCURACY OR TIMELINESS OF MARKET DATA, PRICING INFORMATION, OR NEWS CONTENT.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SINDEX AI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES;
• ANY FINANCIAL LOSSES ARISING FROM TRADING OR INVESTMENT DECISIONS MADE BASED ON INFORMATION, SIGNALS, OR AI-GENERATED CONTENT PROVIDED THROUGH THE SERVICE;
• ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA;
• ANY DAMAGES RESULTING FROM ERRORS, OMISSIONS, OR INACCURACIES IN SIGNALS, STRATEGIES, OR MARKET DATA;
• ANY DAMAGES RESULTING FROM INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICE;
• ANY DAMAGES RESULTING FROM THIRD-PARTY SERVICES, INCLUDING EXCHANGE APIS, PAYMENT PROCESSORS, OR AI PROVIDERS.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. Indemnification

You agree to indemnify, defend, and hold harmless Sindex AI, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your use or misuse of the Service;
• Your trading or investment activities;
• Your violation of any applicable law, regulation, or right of a third party;
• Any content you submit, post, or transmit through the Service;
• Your use of exchange API integrations.

16. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination:

• Your right to access and use the Service will immediately cease;
• We may delete your data in accordance with our Privacy Policy;
• All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability;
• Any outstanding subscription fees will not be refunded unless required by applicable law.

17. Push Notifications and Communications

By using the Service and granting notification permissions, you consent to receive push notifications including:

• Trading signals and market alerts;
• Strategy and backtest notifications;
• News updates and breaking market information;
• System notifications, security alerts, and account updates;
• Promotional communications about new features and offers.

You can manage your notification preferences within the app settings or through your device's notification settings. You may also unsubscribe from email communications using the unsubscribe link provided in our emails.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days, either party may pursue resolution through binding arbitration or through the courts of competent jurisdiction.

Class Action Waiver: To the maximum extent permitted by law, any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis. You agree that you will not seek to have any dispute heard as a class action, a representative action, a collective action, a private attorney-general action, or in any proceeding in which you act or propose to act in a representative capacity.

19. Regulatory Compliance

Sindex AI operates as a technology and information service provider. We do not operate as a:

• Financial institution or bank;
• Broker-dealer or investment advisor;
• Cryptocurrency exchange or trading platform;
• Money services business or money transmitter;
• Custodian of digital assets.

We do not hold, manage, or control any of your funds or cryptocurrency assets. We do not execute any trades or transactions on your behalf. You are solely responsible for complying with all applicable laws and regulations in your jurisdiction related to cryptocurrency trading, taxation, and reporting.

20. General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Sindex AI regarding the Service, superseding all prior agreements.

20.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

20.3 Waiver

No waiver by Sindex AI of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or any other term, and any failure to assert a right or provision shall not constitute a waiver of such right or provision.

20.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets without your consent.

20.5 Force Majeure

Sindex AI shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government actions, power failures, internet or telecommunications failures, or blockchain network disruptions.
